Terms of Service

1. Acceptance of these terms

By downloading, installing or using Resay, you agree to these Terms. If you do not agree, do not install or use the Service. If you use Resay on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" includes you and that organisation.

2. The Service

Resay is an AI-powered text rewriter for iOS. You provide text and choose a tone, and the Service returns one or more rewritten alternatives produced by third-party language models on our behalf. The exact behaviour of the Service, including the underlying models and providers, may change over time as we improve it.

3. Eligibility

You must be at least 13 years old to use Resay. If you are between 13 and the age of majority in your jurisdiction, you may only use Resay with the consent of your parent or legal guardian. By using Resay you confirm that you meet these requirements and have the legal capacity to enter into these Terms.

4. Your account

Resay uses Sign in with Apple to create your account. You are responsible for keeping access to your Apple ID and your device secure. Activity performed through your account is treated as your activity. Notify us at contact@morcolabs.com if you believe your account has been compromised.

5. Subscriptions and billing

Free tier

You can use Resay without a subscription. The free tier includes up to five rewrites every 24 hours, one result per rewrite, one tone per rewrite, and history retained for seven days.

Pro subscription

Resay Pro is offered as a weekly subscription at $7.99 per week and an annual subscription at $99.99 per year. The annual plan includes a 7-day free trial for first-time eligible subscribers. Local prices may differ based on the currency, taxes and pricing rules in your App Store region.

Auto-renewal

Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours before the period ends, at the then-current price for your region. You can view and manage your subscriptions, and cancel auto-renewal, in iOS Settings → [your name] → Subscriptions.

Free trial

If you start the 7-day trial on the annual plan, you will not be charged during the trial. If you do not cancel at least 24 hours before the trial ends, your Apple ID will be charged the annual price and the subscription will begin. You may convert to a paid subscription before the trial ends; unused trial time is forfeited when you convert.

Refunds

All purchases are processed by Apple. Refund requests must be made through Apple at reportaproblem.apple.com. Morco Labs cannot process refunds for App Store purchases.

Price changes

We may change subscription prices. Any price increase that applies to your existing subscription will be notified by Apple in advance, and you will be given the opportunity to accept the new price or cancel before it takes effect.

6. Acceptable use

You agree not to use Resay to:

• break any law or regulation, including export controls and sanctions;
• infringe anyone's intellectual property, privacy or publicity rights;
• create content that harasses, threatens, defames, sexually exploits or harms others, especially minors;
• generate content intended to deceive or impersonate another person or organisation;
• send spam, scams, or content designed for fraud or social engineering;
• reverse-engineer, scrape, or use automated means to access the Service except as expressly permitted;
• probe, scan or test the vulnerability of the Service or interfere with its operation;
• circumvent quotas, paywalls, or any technical access controls;
• use the Service to build a competing product or train a competing model.

We may suspend or terminate your access without notice if we reasonably believe you are violating this section.

7. Intellectual property

Resay, including the iOS app, our backend, our brand and our content, is owned by Morco Labs LLC and protected by intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use Resay for its intended purpose, subject to these Terms.

You retain all rights to the text you submit to Resay and to the alternatives Resay returns to you ("Your Content"). You grant Morco Labs a worldwide, royalty-free licence to host, copy, transmit and process Your Content solely to operate, secure and improve the Service, including forwarding it to the third-party language model providers described in our Privacy Policy. We do not use Your Content to train any model.

8. AI-generated output

The alternatives returned by Resay are generated by language models. They may contain mistakes, may not reflect current facts, and may be inappropriate for a given context. You are responsible for reviewing any output before relying on it or sending it to anyone else. Resay does not provide legal, medical, financial, or other professional advice; nothing generated by Resay should be treated as a substitute for advice from a qualified professional.

Different users may receive similar or identical output for similar inputs. You should not assume that any output is unique to you or that we can prevent others from receiving similar output.

9. Availability and changes

We work to keep Resay running reliably, but we do not promise that the Service will be uninterrupted, error-free, or always available. We may add, change, suspend or remove features. We may also impose limits on usage, including the daily rewrite limit, to keep the Service stable and affordable.

10. Disclaimer of warranties

To the maximum extent permitted by law, Resay is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted use. We do not warrant that the output of Resay will meet your requirements or that any errors will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, Morco Labs and its officers, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of Resay, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to Resay or these Terms is limited to the greater of (a) the amount you paid to Morco Labs for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) fifty US dollars (US$50).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To the extent any such limitation is not permitted, our liability is limited to the smallest extent permitted by law.

12. Indemnification

You will defend, indemnify and hold harmless Morco Labs and its officers, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to your use of Resay, Your Content, or your breach of these Terms.

13. Termination

You may stop using Resay at any time by deleting the app. To delete your account and the data we hold about you, email contact@morcolabs.com from the email address linked to your Apple ID. We may suspend or terminate your access to Resay at any time, with or without notice, including if we reasonably believe you have violated these Terms or that suspension is needed to protect the Service or other users.

Sections that by their nature should survive termination (including the sections on intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive termination of these Terms.

14. Governing law and disputes

These Terms and any dispute arising out of or relating to them or to your use of Resay are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution

Before starting any formal dispute, you agree to first contact us at contact@morcolabs.com and describe the dispute in reasonable detail. We will try to resolve it informally within sixty (60) days of receiving your notice.

Binding arbitration

If the dispute is not resolved informally, you and Morco Labs agree that any dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules in Albuquerque, New Mexico. The arbitrator will have exclusive authority to resolve any dispute about the formation, scope or enforceability of this arbitration agreement. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class-action waiver

You and Morco Labs agree to bring claims against each other only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable, the rest of section 14 will also be unenforceable and the dispute will proceed in court.

Small-claims carve-out

Either party may bring an individual claim in small-claims court for disputes that qualify, as long as the claim stays in that court and on an individual basis.

30-day opt-out

You may opt out of the arbitration and class-action waiver provisions of this section by emailing contact@morcolabs.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Your email must include your full name and the email address linked to your Apple ID. Opting out will not affect any other part of these Terms.

15. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. If we make material changes we will notify you within the app or by email before the changes take effect. Your continued use of Resay after the new Terms take effect means you accept them. If you do not agree, stop using the Service.

16. Miscellaneous

Entire agreement. These Terms together with our Privacy Policy are the entire agreement between you and Morco Labs regarding Resay and supersede any prior agreements about the same subject matter.

Severability. If any part of these Terms is held unenforceable, the rest will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.

Apple-specific terms. These Terms are between you and Morco Labs only, not with Apple. Apple is not responsible for Resay or its content. Apple has no obligation to provide maintenance or support for Resay. Apple is a third-party beneficiary of these Terms and may enforce them against you. The licence granted to you for Resay is a non-transferable licence to use it on Apple-branded products you own or control, subject to the Usage Rules set out in Apple's App Store Terms of Service.

Export controls. You may not use Resay if you are located in a country subject to a US embargo, or if you are on any US government list of prohibited or restricted parties.
